This document is a translation of the original French version. In the event of any discrepancy or conflict between the English and French versions, the French version shall prevail and be the only legally binding text.

General Terms and Conditions of Sale (GTCS)

1. Scope and Validity

These General Terms and Conditions of Sale (GTCS) exclusively govern all commercial relations between DistriMania Sàrl (hereinafter "DistriMania") and its clients (hereinafter "The Client").

They apply to all current and future transactions, even if not explicitly mentioned. Any contrary terms provided by the client are excluded unless prior written acceptance has been granted by DistriMania.

2. Offers and Conclusion of Contract

Offers are non-binding.

The contract is concluded upon:

Validation of the order by the client.
Confirmation by DistriMania and/or shipment of the goods.

DistriMania reserves the right to refuse or cancel any order at its sole discretion.

3. Prices

Prices are indicated in CHF, excluding VAT unless otherwise stated. The applicable prices are those in effect at the time of the order. Additional costs (transport, taxes, customs) shall be borne by the client.

4. Payment Terms

Payment Methods

The Client may pay for products via credit card, bank transfer, or any other payment method accepted by DistriMania.

Payment Deadline

Payment is due in full upon receipt of the invoice.

Late Payment

In the event of late payment, DistriMania reserves the right to charge late interest at the legal rate, as well as collection fees.

5. Retention of Title

Ownership of products sold by DistriMania is transferred to the Client only after full receipt of the purchase price. DistriMania reserves the right to reclaim ownership of the products in the event of non-payment or partial payment. Until full payment is made, the Client is merely a holder of the goods and may not sell, rent, or encumber them in any way. DistriMania is authorized to recover unpaid goods from the Client's premises at the Client's expense.

6. Delivery and Transfer of Risk

Delivery Times

DistriMania endeavors to deliver products within the timeframes indicated during the order process. However, delivery dates are indicative and DistriMania cannot be held liable for delays caused by circumstances beyond its control (force majeure, logistical issues, etc.).

Delivery Costs

Delivery costs shall be borne by the Client unless otherwise stated.

Transfer of Risk

The transfer of risk of loss or damage to the products occurs at the time of delivery—specifically when the Client or their agent takes physical possession of the products.

7. Warranty and Services

Legal Warranty

DistriMania is required to guarantee that products comply with legal requirements regarding quality and safety.

Optional Warranties

In addition to the legal warranty, DistriMania may offer an optional warranty on certain products. The terms of this warranty are specified at the time of order based on the Client's choice.

Claim Procedure

In the event of a lack of conformity, the Client must inform DistriMania in writing within the legal deadlines. DistriMania may then proceed with the repair, replacement, or refund of the product, at its own discretion.

8. Liability

DistriMania is not liable for direct or indirect damages resulting from the use of products, except in cases of intentional misconduct. In particular, DistriMania is not responsible for loss of profits, material or immaterial damage, loss of data, or any other financial loss.

9. Data Protection

DistriMania undertakes to protect the confidentiality of the Client's personal data in accordance with the Swiss Federal Act on Data Protection and the General Data Protection Regulation (GDPR).

10. Export and Compliance

The client is responsible for compliance with export regulations. The client agrees to respect all applicable laws, particularly regarding re-exportation.

11. Confidentiality

The client agrees to keep commercial information (prices, discounts, conditions, etc.) confidential.

12. Applicable Law and Jurisdiction

These GTCS are governed by Swiss law. Any dispute relating to the interpretation or execution of these GTCS shall be subject to the competent jurisdiction of the Canton of Geneva, Switzerland.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

13. Final Provisions

Amendments to the GTCS

DistriMania reserves the right to amend these GTCS at any time. New GTCS will apply to all orders placed after their publication on DistriMania's website.

Partial Nullity (Severability)

If any provision of these GTCS is declared null or invalid, the remaining provisions shall remain in full force and effect.
